Terms of Use
1. Acceptance of the Terms of Use
These Terms of Use govern your access to and use of the Platform (https://app.octogonecollectif.com/ and via Android/iOS) as an authorized user of a client of Octogone Collectif Inc. Your access and use are governed and conditioned by the Master Subscription Agreement (“MSA”) between Octogone Collectif Inc. and the Client.
2. Changes to the Terms
2.1 Right to Modify
Octogone Collectif may modify these Terms (“Modified Terms”) to the extent permitted by law.
2.2 Notice
Reasonable notice before they take effect; posting the Modified Terms on the Platform.
2.3 Acceptance
Your continued use after the effective date constitutes acceptance; otherwise, stop using the Platform.
2.4 Effective Date
Upon posting on the Platform or on a later date specified in the Modified Terms.
3. Use of the Platform
3.1 Features
The Platform centralizes and streamlines restaurant operations (inventory, employee records, tip allocation, etc.).
3.2 Access and Use
Octogone Collectif grants you a limited, non-exclusive, non-transferable right to access and use the Platform for the Authorized Purposes designated by the Client and in accordance with these Terms.
3.3 Code of Conduct (Prohibited Activities)
- Using the Platform for purposes other than the Authorized Purposes
- Distributing, reselling, or permitting third‑party access; sharing credentials
- Uploading/transmitting defamatory, harassing, discriminatory, illegal, or infringing content
- Copying/disclosing any part of the Platform (scraping, crawling, automated tools)
- Using bots/offline readers to access the Platform
- Automatically collecting information from third‑party websites via the Platform
- Sending spam/chain letters; interfering with servers; compromising security
- Imposing unreasonable load on infrastructure; uploading viruses/malware
- Harvesting personally identifiable information of other users; impersonation
- Endangering security or integrity of individuals/entities; disrupting the Platform
- Reverse engineering, unauthorized access, discovering source code, creating derivative works
- Building a competing product/service; copying ideas/features/functions/graphics
- Accessing content via unauthorized methods; circumventing security measures
- Using the Platform in violation of applicable laws
3.4 Investigations and Enforcement
Octogone Collectif may investigate any violation and pursue appropriate remedies; no duty to monitor, but may do so for compliance.
4. Your Platform Access
4.1 Account Creation
Provide accurate and complete information and keep it up to date; choose a unique, secure password; access may be blocked if non‑compliant.
4.2 Responsibility for Your Access
You are responsible for maintaining the confidentiality of your credentials and all activity under your account; notify immediately of unauthorized use.
4.3 Security
No guarantee that unauthorized third parties will never defeat security; you provide information at your own risk.
4.4 Responsibility for Unauthorized Use
Octogone Collectif is not liable for losses arising from a third party’s use of your access; you may be held responsible.
4.5 Use of Another User’s Credentials
Prohibited unless acting as an authorized agent.
4.6 Suspension
Access may be suspended for suspected violations, at the discretion of Octogone Collectif or the Client.
4.7 Deletion
Access may be deleted after at least one (1) year of inactivity; prior notice to the Client before deleting data.
5. Services
5.1 Modifications
Octogone Collectif may modify or discontinue the Platform or Services (in whole or in part) without notice; no liability.
5.2 Compatibility
No guarantee of compatibility with your devices/browsers/systems; technical support at Octogone Collectif’s discretion.
6. Intellectual Property
6.1 Trademarks
Belong to Octogone Collectif or third parties; any use requires prior written authorization.
6.2 Copyright
Original works are protected; acts reserved to the copyright holder are prohibited without consent.
6.3 Other Rights
The Platform (or parts of it) may be protected by industrial designs/patents; all rights reserved.
6.4 Feedback
Octogone Collectif may exploit any feedback without compensation or attribution.
6.5 Documentation
Use only as needed to support Platform usage.
6.6 Digital Works
Use only for permitted purposes; otherwise constitutes a copyright violation.
7. Disclaimer of Warranty
The Platform is provided “as is” and “as available,” without any warranties of any kind. Octogone Collectif disclaims express and implied warranties (merchantability, fitness for a particular purpose, non‑infringement, accuracy). Information comes from sources deemed reliable but not controlled and from user‑provided data; you are responsible for evaluating it. The Platform and Services are decision‑support tools and do not replace professional judgment; you are fully responsible for your decisions.
8. Limitation of Liability
You assume all risks related to your access to and use of the Platform and Services. To the fullest extent permitted by law, Octogone Collectif and its affiliates are not liable for damages (loss of use, profits, data, viruses, delays, errors, etc.).
9. Termination
9.1 By Octogone Collectif
Immediate suspension/termination for prohibited use or breach, subject to law and the MSA.
9.2 Effect
Immediate end of access rights; survival of provisions on IP, confidentiality, disclaimers, limitation of liability, and indemnification.
10. Governing Law
Laws of the Province of Québec and applicable federal laws of Canada; exclusive jurisdiction of the courts in the judicial district of Québec (unless prohibited by law).
11. Miscellaneous
Assignment
Not permitted without authorization.
Waiver
Only valid in writing and signed; no implied waiver.
Invalidity
Invalidity of one provision does not affect the remainder.
